Unless otherwise specified in writing, payment terms are Net 30 days from the invoice date. Late payments may incur interest charges at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower. We reserve the right to suspend delivery of products pending receipt of payment.
Risk of loss and title for products generally pass to the customer upon delivery to the carrier. Delivery dates are estimates only and are subject to change. We are not liable for delays caused by circumstances beyond our reasonable control.
We warrant that our products will conform to their published specifications at the time of shipment. This warranty does not extend to products that have been mishandled, stored improperly, or used outside of their intended application. Our liability under this warranty shall not exceed the purchase price of the non-conforming products.
Returns must be authorized in advance and are subject to a restocking fee of 15%. Products returned must be in original, unopened packaging and within 30 days of delivery. Perishable items cannot be returned unless they fail to meet specifications.

We shall not be liable for any failure or delay in performance resulting from events beyond our reasonable control, including but not limited to acts of God, war, terrorism, pandemic, labor disputes, supplier failures, or government actions.
These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles. Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association.
